1. Agreement

These Terms of Service (“Terms”) are a binding legal agreement between you (“Customer,” “you”) and Reinvent IP Labs Limited (“IP Signals,” “we,” “us”), a company incorporated in Hong Kong SAR. By creating an account, using the platform, initiating a scan, or making a payment, you agree to these Terms and our Privacy Policy.

We may update these Terms at any time with at least 15 days' notice for material changes. Continued use after the effective date constitutes acceptance.

2. The Service — AI-Powered IP Risk Monitoring

IP Signals is an MVP-stage, AI-powered intellectual property risk awareness and monitoring platform. You provide a website URL or digital asset, and our autonomous agent pipeline analyses publicly accessible creative assets, classifies them for IP risk indicators, and produces a risk score from 0–100.

2.1 MVP Stage — Important Limitations

IP Signals is currently an early-stage minimum viable product (MVP). The platform, AI models, scoring algorithms, and agent pipelines are actively being developed and improved. You acknowledge that:

• Accuracy, availability, and feature completeness may vary during this stage.
• AI outputs may contain errors, false positives, and false negatives at a higher rate than a mature product.
• Features marked “Coming Soon” are not yet available and carry no delivery commitment.
• We reserve the right to modify, limit, or discontinue any feature with reasonable notice.

2.2 The Five-Agent Autonomous Pipeline

• Crawler Agent: Extracts images, fonts, metadata, and HTML from your public website. Operates on publicly accessible pages only.
• Classifier Agent: AI vision analysis classifying each asset for AI-generation likelihood, copyright risk indicators, and trademark elements.
• Matcher Agent: Reverse image search comparing flagged assets against copyright databases and stock libraries.
• Compliance Agent: AI text analysis evaluating content against regulatory compliance checklists including EU AI Act Article 50 disclosure requirements.
• Scorer Agent: Deterministic algorithm computing a composite risk score from 0–100.

2.3 Autonomous Monitoring (Pro and Business)

Paid subscribers may enable scheduled autonomous scanning at a set cadence (weekly for Pro; daily for Business). Agents re-scan your registered domain(s) automatically, consuming scan units from your monthly balance. Results are delivered via email digest.

2.4 Client Detection

The Service may detect publicly identifiable clients and collaborators by analysing portfolio pages, case studies, testimonials, and public web mentions. Client detection is experimental, may be inaccurate, and carries no guarantee of completeness or accuracy.

2.5 Risk Score — Reference Only

Risk scores indicate the presence of IP risk signals detected by automated analysis. A high score does not mean infringement has occurred. A low score does not guarantee IP safety. Scores are provided to help you make informed decisions — not to direct legal action.

2.6 Licensing-First Approach

IP Signals is designed as a risk awareness tool to help creative professionals and businesses identify opportunities to license, regularise, or negotiate their IP position. We actively encourage users to:

• Seek licensing agreements as a first response to identified IP risk.
• Engage in constructive dialogue with rights-holders.
• Consult qualified IP attorneys before taking any legal or commercial action.
• Treat scan results as a starting point for due diligence, not a conclusion.

IP Signals does not encourage, instruct, or facilitate litigation. The platform is not a legal action tool. Any decision to take legal action based on scan results is entirely your own and must be made with independent legal advice.

2.7 AI Accuracy Disclaimer

Results may include false positives and false negatives. Client detection may include inaccurate associations. AI classification of IP risk is probabilistic, not deterministic.

3. Accounts

3.1 Free Signup

You may create a free account by providing your work email and company name, or by signing in with Google OAuth. No credit card is required for a free account.

3.2 The 3-Day Onboarding Window

When you create a free account and run your first scan, a 3-day countdown begins from the date of signup. During this window:

• You see your Free-tier results (risk score, 3 flagged assets, client count with identities blurred).
• You are prompted to upgrade to Pro or Business to unlock full results.
• Full scan data (including all flagged assets, client identities, and compliance details) is stored but access-gated until upgrade.

After 3 days, if you have not upgraded:

• Your account remains on the Free tier with no change to Free-tier features.
• Hidden full scan data is retained for a further 4 days (7 days total from signup), then permanently deleted.
• You can still use IP Signals on the Free tier (25 scan units/month) indefinitely.
• You may upgrade at any time; upgrading after 7 days requires a fresh scan.

3.3 Account Requirements

You must be 18 or older. You are responsible for keeping your credentials secure. Notify us at support@reinventdao.io immediately if you believe your account has been compromised.

4. Scan Units — How They Work

IP Signals uses a scan unit system. Each action consumes a number of scan units from your monthly balance. Scan units are not equivalent to individual scans — they represent the computational cost of each analysis type.

4.1 Monthly Scan Unit Allowances

• Free: 25 scan units per month (enough for 1 domain scan or 12 image scans).
• Pro: 600 scan units per month.
• Business: 2,000 scan units per month.

4.2 Rolling Credit — Unused Units

Unused scan units roll over to the following month, subject to a cap. Rollover caps are:

• Free: No rollover. Unused units expire at month end. The 25 free units are exclusive to the Free tier and are not carried over, credited, or compensated upon upgrading to Pro or Business.
• Pro: Unused units roll over up to a maximum of 1,200 units (2 months' worth).
• Business: Unused units roll over up to a maximum of 4,000 units (2 months' worth).

Important: The 25 monthly units available on the Free tier are a benefit of the Free tier only. Upon upgrading to any paid plan, the Free tier unit allocation ceases immediately and is not added to, rolled into, or offset against the paid plan's unit balance. Rolled-over units on paid plans are consumed before the current month's allocation. Units are not redeemable for cash and have no monetary value outside the Service.

4.3 Additional Scan Units

Pro and Business subscribers may purchase additional scan units beyond their monthly allocation:

• Additional units: Available at published rates on the pricing page.
• Additional units purchased do not roll over between billing cycles.
• Additional units are consumed after rolled-over units and current-month allocation.

5. Subscription Plans and Pricing

5.1 Free Tier

25 scan units per month on a single domain. Includes: top-level IP Exposure Score, 3 highest-risk flagged assets (remaining assets redacted), aggregate client count (identities withheld), and summary compliance status. Shareable scorecard included. Autonomous monitoring, email digests, and remediation guidance are not available. Scan data retained for 7 days.

5.2 Pro Tier — $79/month or $66/month billed annually ($787/year)

600 scan units per month on a single domain. Includes: full visibility into all flagged assets with detailed risk classifications, complete client detection with source attribution, EU AI Act compliance checklist with actionable guidance, per-asset recommended actions, basic licensing letter templates, score history and trend tracking, weekly email digest, and Google Drive integration. 1 seat included; up to 4 additional at $10/seat/month (5 maximum). Scan data retained for 30 days.

5.3 Business Tier — $299/month or $248/month billed annually ($2,978/year)

2,000 scan units per month across up to 5 monitored domains. Includes everything in Pro, plus: comparative cross-domain risk dashboard, white-label reports, automated DMCA takedown draft generation, Google Drive deep scan with recurring schedule, programmatic API access, and consolidated multi-domain email digest. 5 seats included; up to 10 additional at $10/seat/month (15 maximum). Scan data retained for 30 days.

5.4 Annual Billing

Annual subscriptions are billed upfront for 12 months at the rates above (saving 17% versus monthly billing). Annual subscriptions are non-refundable except as required by law or as expressly stated in these Terms.

6. Upgrading, Downgrading and Billing

6.1 Upgrading from Free to Paid

You may upgrade at any time. Payment is collected immediately upon confirmation via Stripe. There is no free trial. Your dashboard unlocks all features of the selected tier immediately upon payment.

Scan unit transition on upgrade: The 25 monthly scan units provided under the Free tier are a Free-tier-only benefit. Upon upgrade, any unused Free tier units are forfeited and do not roll over, carry over, or credit toward your paid plan balance. Your paid plan unit allocation begins fresh from the date of upgrade.

6.2 Upgrading from Pro to Business

Upgrades take effect immediately. A prorated credit is calculated for the unused portion of your current Pro billing cycle and applied against the Business tier price. You are charged the net difference immediately. Your scan unit balance resets to Business allocation and domain limit increases to 5 immediately.

Example: Upgrading from Pro ($79/mo) to Business ($299/mo) on day 15 of a 30-day cycle gives a ~$39.50 credit. You are charged ~$259.50 for the first Business cycle.

6.3 Downgrading

Downgrades take effect at the start of the next billing cycle. You retain your current tier's features until then. No credit or refund is issued for the unused portion of the current cycle. Additional seats beyond the lower tier's limit are removed at downgrade. Rolled-over scan units that exceed the lower tier's rollover cap are forfeited.

6.4 Cancellation

You may cancel at any time. Cancellation takes effect at the end of the current billing cycle. Your account reverts to Free tier. Scheduled scanning stops. Team member seats are revoked. Your scan data is retained for 30 days from the cancellation date; after that, it is permanently deleted. We send reminders at 7 days and 3 days before deletion.

6.5 Annual Subscription Cancellation

Annual subscriptions cancelled mid-year: Access continues until the end of the annual billing period. No refund of remaining months. If you cancel an annual subscription, you may not re-subscribe at the same annual rate for 90 days.

6.6 Automatic Renewal

Subscriptions renew automatically at the end of each billing cycle (monthly or annual). Scan unit balances reset at each cycle start (subject to rollover rules in Section 4.2). We will notify you by email at least 7 days before annual renewal.

6.7 No Refunds

If required by law (e.g., EU consumer cooling-off rights), we will process refunds within the legally required period. Contact support@reinventdao.io within the applicable window.

6.8 Failed Payments

If payment fails: we notify you and retry. After 3 days overdue: paid features suspended. After 30 days: subscription terminated and account reverted to Free. Late payment interest: 1.5%/month or the legal maximum, whichever is lower.

6.9 Taxes

All fees are exclusive of applicable taxes (VAT, GST, sales tax). You are responsible for all applicable taxes in your jurisdiction.

7. Data Retention

7.1 On Upgrade

When you upgrade from Free to a paid tier, any existing scan data within the 7-day retention window is preserved and extended to 30-day retention. If your data has already been deleted, you will need to run a new scan.

7.2 On Cancellation

Scan data retained for 30 days from cancellation date. Email reminders at 7 days and 3 days before deletion. After 30 days: permanent deletion unless you re-subscribe.

7.3 Deletion on Request

Request via account settings or support@reinventdao.io. Active systems purged within 48 hours. Encrypted backups within 14 additional days. Billing records retained for 7 years as required by law.

7.4 No Model Training

We do not use your scan data, uploaded assets, or crawled content to train AI models without your explicit opt-in consent.

8. Autonomous Agent Scanning — Consent and Scope

8.1 What Agents Access

By initiating a scan, you consent to our agents accessing publicly available data on your registered domain(s): images, metadata, text content, portfolio entries, and public business relationship signals. Agents do not access password-protected pages, private systems, APIs, or email.

8.2 Warranty of Authorization

By initiating a scan, you represent and warrant that:

• You are the domain owner or have explicit written authorization from the domain owner to conduct the scan.
• You have the right to submit the domain for IP risk analysis.
• The scan does not violate any applicable law, third-party agreement, or terms of service of the scanned domain.

Unauthorized scanning is a material breach of these Terms and may result in immediate account termination and legal liability.

8.3 Scheduled Scanning

By enabling scheduled monitoring, you consent to autonomous scanning on a recurring cadence. Each scheduled scan consumes scan units from your monthly balance. You may disable scheduled scanning at any time from your dashboard.

8.4 Third-Party Processing

Public data identified during scans is transmitted to third-party AI vision models, reverse image search services, and search APIs. These processors do not retain your data after returning results and are bound by Data Processing Agreements.

8.5 Google Drive Integration (Pro and Business)

Requires explicit OAuth consent. IP Signals receives read-only access to designated folders only. Access is revocable at any time via your Google Account settings. Files processed are deleted within 1 hour of scan completion.

9. Risk Scoring

Scores run 0–100 using a deterministic algorithm weighting: copyright risk, AI-generated content indicators, trademark elements, compliance signals, and stock asset misuse. Score bands: 0–10 Excellent, 11–20 Good, 21–40 Moderate, 41–60 High, 61–100 Critical.

Scores are not legal determinations. They reflect the output of automated analysis at a point in time and should be interpreted as indicators for further human review, not conclusions.

10. Licensing Templates and Recommended Actions

Pro and Business subscribers have access to template licensing letters and recommended action guidance. These templates are:

• Provided as starting-point references only.
• Not legal advice and not a substitute for advice from a qualified IP attorney.
• Not reviewed for accuracy in any specific jurisdiction.
• Provided without warranty of fitness for any particular purpose.

IP Signals strongly recommends that all licensing communications and legal notices be reviewed by a qualified attorney before sending.

We encourage users to approach potential IP disputes through licensing negotiation, not litigation. Templates are designed with this ethos in mind.

11. Intellectual Property

• Your content: You retain full ownership. You grant IP Signals a limited, temporary licence for service delivery only.
• Our platform: The IP Signals platform, models, algorithms, and output formats are our exclusive intellectual property.
• Scan output: Risk reports and scores generated for your account are yours for internal use. White-label reports (Business tier) may be shared with your clients.

12. API Access

API access is available to Business tier subscribers only. You must keep API keys confidential. The API may not be used to build competing products or resell access to the Service. API rate limits apply as published.

13. Acceptable Use

You must not:

• Use the Service unlawfully or for any purpose that violates applicable law.
• Scan domains you do not own or do not have explicit written authorization to scan.
• Attempt to bypass scan unit limits, access controls, or rate limits.
• Make automated legal decisions based solely on AI output without human review.
• Use scan results to harass, threaten, or make unsubstantiated legal claims against third parties.
• Introduce malicious code, conduct denial-of-service attacks, or attempt to access unauthorized systems.
• Resell or sublicence access to the Service without written permission.

14. Disclaimers

In particular, IP Signals makes no warranty that:

• Scan results are complete, accurate, or current.
• The Service will be uninterrupted, error-free, or free of false positives or false negatives.
• AI outputs reflect the state of applicable law in your jurisdiction.
• Licensing templates or recommended actions are legally effective in your jurisdiction.
• The platform will detect all instances of IP infringement or risk.

15. Limitation of Liability

This includes but is not limited to:

• Damages arising from reliance on scan results, risk scores, or AI output.
• Damages from any legal action taken (or not taken) based on scan results.
• Damages from inaccurate client detection or false IP risk classifications.
• Damages from service unavailability or data loss within retention periods.
• Damages from any third-party legal claims arising from your use of the Service.

Some jurisdictions do not allow the exclusion or limitation of certain liabilities. In such jurisdictions, our liability is limited to the minimum extent required by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless IP Signals, its officers, directors, employees, and agents from any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from or relating to:

• Your use of the Service or any scan results.
• Any legal action you take (or cause to be taken) based on scan results or AI output.
• Your violation of these Terms or applicable law.
• Scanning a domain without proper authorization.
• Any third-party claim that your use of the Service infringed their rights.
• Your use of licensing templates, DMCA draft notices, or any other output from the Service.

17. Termination

Either party may terminate at any time. We may suspend or terminate your account immediately for:

• Material breach of these Terms.
• Overdue payments exceeding 30 days.
• Unauthorized scanning or misuse of the platform.
• Account inactivity exceeding 12 months (with prior notice).
• Legal or regulatory requirements.

Upon termination, your licence to use the Service ends. Data retention applies per Section 7.

18. General Provisions

• Governing law: Hong Kong SAR.
• Dispute resolution: Hong Kong International Arbitration Centre (HKIAC). No class actions.
• Severability: If any provision is unenforceable, the remaining provisions remain in full effect.
• Force majeure: We are not liable for failures caused by events outside our reasonable control.
• Entire agreement: These Terms and the Privacy Policy constitute the entire agreement between the parties.
• No waiver: Failure to enforce any provision is not a waiver of our right to enforce it in the future.
