1. Agreement

These Terms of Service ("Terms") are a binding agreement between you ("Customer," "you") and IP Signals Limited ("IP Signals," "we," "us"), a company incorporated in Hong Kong SAR. By creating an account, using the platform, or making a payment you agree to these Terms and our Privacy Policy. We may update these Terms with at least 15 days' notice. Continued use after the effective date means you accept the changes. If you disagree, stop using the Service and cancel your subscription.

2. What IP Signals Does

IP Signals is an AI-powered intellectual property risk assessment and monitoring platform. You upload digital assets (images, logos, designs, creative works) and our AI scans publicly available online sources for potential infringement, unauthorized use, or visual similarity. The platform provides three core AI agent capabilities: Search (discovering potential infringements across the web), Compare (analyzing visual and contextual similarity between assets), and Group (clustering related infringement instances for efficient review).

3. Accounts

You must be 18 or older. You are responsible for keeping your login credentials secure. If you register on behalf of an organization, you confirm you have authority to bind that organization to these Terms. Notify us immediately at support@reinventdao.io if your account is compromised.

4. Subscription Plans

Deep Analysis, Priority Scanning, and API access are available on Business and Enterprise tiers. Unused scans do not roll over. Annual plans save approximately two months compared to monthly billing. We may adjust pricing with at least 30 days' notice. Changes take effect at the next renewal. If you disagree, cancel before the new price applies.

5. Payment Terms

5.1 Fees

Fees are in US Dollars, charged in advance (monthly or annually). You authorize us to charge your payment method on file. All fees exclude applicable taxes, which are your responsibility.

5.2 Automatic Renewal

Subscriptions renew automatically at the end of each billing cycle unless you cancel before the renewal date.

5.3 Upgrades — Effective Immediately

Upgrades take effect immediately. When you upgrade (e.g., Pro → Business), you gain instant access to the higher tier. You are charged a prorated amount for the remainder of the current billing cycle at the new rate. The next full cycle is billed at the new tier's price.

5.4 Downgrades — Effective Next Billing Cycle

Downgrades take effect at the start of the next billing cycle. You retain your current tier's features until the end of the current cycle. No prorated credit or refund is issued. Downgrading may result in loss of access to certain data or features.

5.5 Cancellation — Effective End of Current Billing Cycle

Cancellation takes effect at the end of the current billing cycle. Your subscription stays active until the cycle ends. No further charges apply after that. Your account then reverts to the Free tier.

5.6 No Refunds

All fees are non-refundable. If you cancel a monthly plan mid-month, or an annual plan before 12 months expire, you will not receive a refund for the unused portion. The same applies to downgrades—no credit is issued for the price difference. Refunds may be provided at our sole discretion in exceptional cases or as required by law.

5.7 Failed Payments & Late Fees

If payment fails, we will notify you and may retry the charge. If payment remains overdue for more than 7 days, we may suspend paid features. After 30 days overdue, we may terminate your subscription. Outstanding balances accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is less.

5.8 Taxes

You are responsible for all applicable sales, use, VAT, GST, and withholding taxes. If we are required to collect tax on your behalf, it will be added to your invoice.

6. Data Retention

6.1 Maximum 30-Day Retention

IP Signals retains uploaded assets, raw scan data, and API request content for a maximum of 30 days from the date of the most recent interaction. This policy is aligned with industry standards.

6.2 Scan History by Tier

Aggregated scan history (summary reports and risk scores, not original asset files) is retained per your tier, and as consented for portfolio asset valuation: Free: 30 days, Pro: 90 days, Business: 1 year, Enterprise: as agreed.

6.3 Immediate Deletion on Request

You may request deletion of your data at any time. Upon verified request, we permanently delete your assets and scan data from active systems within 48 hours. Encrypted backups are purged within 14 additional days. Submit requests via your account settings or support@reinventdao.io.

6.4 No Model Training

We do not use your uploaded assets or personal data for AI model training without your explicit opt-in consent. Anonymized, de-identified usage patterns may be used to improve the Service but cannot be linked to any individual.

6.5 API Data

API request and response content is retained for a maximum of 30 days for service delivery and debugging. Enterprise customers may negotiate custom retention terms.

7. Intellectual Property

Your assets: You retain all ownership of the assets you upload. You grant us a limited, revocable licence to process your assets solely to deliver the Service, including through third-party infrastructure providers acting on our behalf. This licence ends when you delete your data or close your account. IP Signals does not use uploaded content to train, improve, or develop its algorithm or any third-party systems.

Our platform: The Service, algorithms, AI models, and all related technology are our exclusive property. These Terms do not transfer any ownership rights to you.

Output: Scan results and reports are yours to use for internal purposes, including as supporting evidence in legal proceedings. The underlying methods remain our property.

8. API Access

API access is available on Business and Enterprise tiers, governed by these Terms and our API documentation.

• Security: Keep your API keys confidential. Do not embed them in public repositories or client-side code. You are responsible for all activity under your keys.
• Rate limits: The API is subject to rate limits per our documentation. We may throttle access that could degrade service quality. Rate limits vary by tier.
• Uptime target: We target 99.5% monthly API uptime, excluding scheduled maintenance (communicated 48 hours in advance). Enterprise customers may negotiate custom SLAs.
• Prohibited uses: You may not use the API to build competing products, reverse-engineer our models, circumvent rate limits, or resell access without our written agreement.

9. Acceptable Use

You agree not to: use the Service for unlawful purposes; attempt unauthorized access to our systems or other accounts; use automated tools outside the authorized API; make automated legal or enforcement decisions without human review; introduce malicious code; or use the Service in any way that could cause us legal liability or reputational harm.

We may investigate violations and suspend or terminate accounts as needed.

10. Disclaimers

We do not guarantee that the Service will be accurate, complete, error-free, uninterrupted, or secure. AI-generated results are probabilistic and may contain errors, false positives, or false negatives. The Service is not a substitute for professional legal advice.

You use the Service at your own risk. All output is for reference and indication purposes only.

11. Limitation of Liability

Without limiting the above, IP Signals is not liable for:

• Decisions you make based on AI-generated output, whether or not the output was accurate;
• Legal proceedings, takedown notices, or enforcement actions initiated by you using information from the Service;
• Any loss arising from false positives, false negatives, or limitations in the AI's ability to detect or assess infringement.

Our total aggregate liability for all claims shall not exceed the greater of: (a) the fees you paid us in the 12 months before the claim; or (b) US$100.

These limitations reflect the allocation of risk between you and IP Signals and form an essential basis of our agreement.

12. Indemnification

You agree to indemnify and hold harmless IP Signals, its affiliates, and their officers, directors, and employees from any claims, damages, and expenses (including legal fees) arising from: your use of the Service or its output; actions you take based on scan results (including cease-and-desist notices, takedowns, or legal proceedings); violation of these Terms or applicable law; or your uploaded content.

13. Termination

You may cancel anytime via account settings or support@reinventdao.io, subject to the cancellation terms in Section 5. We may suspend or terminate your access without notice if you breach these Terms, have overdue payments (30+ days), have an inactive Free account (12+ months), pose a security risk, or if required by law.

On termination: your access stops immediately, outstanding fees are due, and your data is handled per Section 6. You may request data export within 30 days of termination.

14. General

• Governing law: These Terms are governed by the laws of Hong Kong SAR.
• Disputes: Disputes are resolved by arbitration at the Hong Kong International Arbitration Centre (HKIAC), one arbitrator, in English. Either party may seek injunctive relief in court to protect intellectual property or confidential information.
• No class actions: You waive the right to participate in class actions, collective actions, or representative proceedings.
• Entire agreement: These Terms and our Privacy Policy constitute the full agreement. Any prior agreements are superseded.
• Severability: If any provision is unenforceable, the remainder stays in effect.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
• Force majeure: Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, pandemics, war, government action, or infrastructure failures.
